1. Acceptance of Terms

Welcome to LexisScore ("we," "us," "our," or the "Platform"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and related services (collectively, the "Services").

By accessing or using LexisScore, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

Important:

  • You must be at least 16 years old to use LexisScore
  • These Terms may be updated from time to time
  • Continued use after changes constitutes acceptance
  • You are responsible for reviewing these Terms regularly

2. Eligibility and Registration

2.1 Age Requirement

You must be at least 16 years old (or 13 in the United States with parental consent) to create an account and use our Services. By using LexisScore, you represent and warrant that you meet this age requirement.

2.2 Account Information

When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

2.3 One Account Per Person

You may only create one account. Creating multiple accounts to manipulate ratings, circumvent suspensions, or engage in fraudulent activity is strictly prohibited.

3. User-Generated Content

3.1 Your Content

You may submit reviews, complaints, ratings, comments, photos, and other content ("User Content") to LexisScore. You retain all ownership rights in your User Content, but you grant us certain rights as described below.

3.2 License to Your Content

By submitting User Content, you grant LexisScore a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to:

  • Use, reproduce, modify, adapt, publish, and display your User Content
  • Distribute your User Content through our Services and third-party platforms
  • Create derivative works based on your User Content
  • Use your User Content for marketing and promotional purposes

3.3 Content Standards

All User Content must:

  • Be truthful, accurate, and based on your personal experience
  • Not contain false, misleading, or fraudulent information
  • Not violate any laws, rights, or these Terms
  • Not contain personal information of others without consent
  • Not include profanity, hate speech, or discriminatory content
  • Not contain threats, harassment, or defamatory statements
  • Not be promotional or commercial in nature (unless authorized)

3.4 Content Moderation

We reserve the right (but not the obligation) to:

  • Monitor, review, edit, or remove any User Content
  • Refuse or remove User Content that violates these Terms
  • Suspend or terminate accounts for violations
  • Cooperate with law enforcement regarding illegal content

Verification Required:

Reviews and complaints may require verification of your relationship with the company. Failure to provide verification when requested may result in content removal.

4. Account Responsibilities

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your account is not used by others
  • Notifying us immediately of any security breach
  • Logging out of your account at the end of each session

LexisScore will not be liable for any loss or damage arising from your failure to protect your account information.

5. Prohibited Conduct

You agree NOT to engage in any of the following prohibited activities:

Fraudulent Reviews

Post fake, false, or misleading reviews; review bombing; paid reviews; or reviews for competitors

Account Manipulation

Create multiple accounts, impersonate others, or share account credentials

Harassment & Abuse

Harass, threaten, stalk, or abuse other users, companies, or LexisScore staff

Illegal Activity

Use the Services for any illegal purpose or in violation of any laws

System Interference

Hack, disable, interfere with, or circumvent any security features of the Platform

Data Scraping

Use bots, scrapers, or automated tools to extract data without permission

Spam & Solicitation

Send spam, advertisements, or unsolicited communications through our Platform

Intellectual Property Infringement

Infringe on copyrights, trademarks, or other intellectual property rights

6. Intellectual Property Rights

6.1 Our Content

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by LexisScore, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for personal, non-commercial purposes. You may not:

  • Modify, copy, distribute, or create derivative works
  • Reverse engineer or decompile any part of the Services
  • Remove or alter any copyright, trademark, or proprietary notices
  • Use the Services for commercial purposes without authorization

6.3 Trademarks

"LexisScore" and our logo are trademarks of LexisScore, LLC. You may not use these trademarks without our prior written permission. All other trademarks, service marks, and logos used on our Services are the property of their respective owners.

7. Third-Party Links and Services

Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by LexisScore. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that LexisScore shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party content, goods, or services.

8. Premium Subscriptions and Payments

8.1 Subscription Terms

Certain features of LexisScore require a paid subscription ("Premium Services"). By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Automatic renewal unless you cancel before the renewal date
  • Current pricing and billing terms displayed on our website

8.2 Billing and Refunds

Payment terms:

  • All fees are in U.S. dollars unless otherwise stated
  • You authorize us to charge your payment method automatically
  • Refunds are available within 30 days of purchase (see our refund policy)
  • We may change subscription fees with advance notice

8.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds for unused portions of a billing period.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 No Guarantee of Accuracy

LexisScore does not guarantee:

  • The accuracy, completeness, or reliability of any content, including reviews, ratings, or credibility scores
  • That the Services will be uninterrupted, secure, or error-free
  • That defects will be corrected
  • That our servers are free of viruses or harmful components
  • The quality of any products, services, or companies reviewed on our Platform

9.3 User-Generated Content Disclaimer

Reviews and ratings reflect the personal opinions and experiences of individual users, not LexisScore. We do not endorse, support, represent, or guarantee the truthfulness, accuracy, or reliability of any User Content.

9.4 Financial Decisions

LexisScore is not a financial advisor. We provide information only. You should conduct your own research and consult qualified professionals before making any financial decisions. We are not responsible for any financial losses resulting from your use of our Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

LEXISSCORE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Any User Content obtained from the Services
  • Unauthorized access, use, or alteration of your content
  • Financial decisions made based on information from our Platform

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO LEXISSCORE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless LexisScore and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use or misuse of the Services
  • Your User Content
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. Most disputes can be resolved this way.

12.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in New York, New York, unless otherwise agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND LEXISSCORE AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

13.1 Your Right to Terminate

You may terminate your account at any time by:

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent or illegal activity
  • At our sole discretion for any reason

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Your User Content may be anonymized but will remain on the Platform to maintain credibility score integrity. Sections of these Terms that by their nature should survive termination shall survive.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Notify you via email (if you have an account)
  • Display a prominent notice on our website
  • For material changes, provide at least 30 days' notice before new terms take effect

Your continued use of the Services after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services and may terminate your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and LexisScore.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

15.5 Force Majeure

LexisScore shall not be liable for any failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation, fuel, energy, labor, or materials.

15.6 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
